Company policies

Terms of Service

These terms apply when a business uses a Novic Technologies product or takes one of our services, such as software development, security work or digital growth. They sit alongside the quote, proposal or agreement for your project.

1. How these terms fit together

These terms are between Novic Technologies Company Limited and the business that uses our products or services ("you"). If you accept on behalf of a business, you confirm you are allowed to do so.

If a signed agreement, accepted quote or product-specific terms (such as the Novinect Terms of Service) say something different, those take priority over these general terms.

2. Quotes and scope

We agree the scope, deliverables, timeline and price for each piece of work in a written quote, proposal or agreement. Work outside that scope, or changes you request after it is agreed, may need a new quote and can change the timeline.

3. Fees and payment

You agree to pay the fees in your quote, invoice or subscription on time. Unless agreed otherwise, deposits are due before work starts and are used to reserve our time.

If payment is late we may pause work or access to a product until the account is settled. Third-party costs we pass through, such as domains, hosting or WhatsApp message charges, are billed as agreed.

4. Your responsibilities

  • Give us accurate information, content, approvals and access when we need them. Delays on your side can move delivery dates.
  • Make sure you have the rights to any content, logos, data or accounts you give us to use.
  • Keep your passwords and user accounts safe, and tell us quickly if you suspect misuse.
  • Use our products lawfully and follow the rules of connected platforms, such as Meta and WhatsApp policies.

5. Ownership of work

Once custom work has been paid for in full, you own the final deliverables made specifically for you, such as your website content and designs, unless the agreement says otherwise.

Novic Technologies keeps ownership of its products, platforms, templates, tools and know-how, including anything we built before or outside your project. Where these are part of what we deliver, you receive a licence to use them for your business. We may show completed work in our portfolio unless you ask us not to.

6. Products and subscriptions

Our software products are licensed to you, not sold. You may use them for your own business during your subscription, but you may not resell, copy, reverse engineer or use them to build a competing product.

We improve our products over time and may change, add or remove features. If a change materially reduces something you are paying for, we will tell you in advance.

7. Third-party services

Some products and services rely on providers we do not control, such as Meta and WhatsApp, hosting companies, payment providers and AI model providers. Their terms also apply, and we are not responsible for their outages, policy changes or decisions about your accounts.

8. Confidentiality and data

Each side will keep the other's confidential business information private and use it only for the work. Where we handle your customers' personal information, we do so only to provide the service, following your instructions and our Privacy Policy.

9. Availability and support

We work to keep our products available and to fix problems quickly, but we do not promise uninterrupted service. Planned maintenance and incidents are posted on our Status page. Support levels are set out in your agreement or plan.

10. Warranties and liability

We will do our work with reasonable skill and care. Apart from that, our products and services are provided without other warranties to the extent the law allows. AI features can make mistakes, and you remain responsible for messages and decisions made in your business.

To the extent the law allows, we are not liable for indirect or consequential losses such as lost profit, lost revenue, lost data or business interruption. Our total liability for any claim is limited to the fees you paid us for the product or service concerned in the three months before the claim.

11. Suspension and ending the relationship

Either side may end an ongoing service as set out in the agreement or plan. We may suspend or end access if fees remain unpaid, if a product is used unlawfully or abusively, or if continued use puts our systems, other clients or connected platforms at risk.

When a service ends, you pay for work done and charges incurred up to that date, and we will help you export your data where the product allows it.

12. Disputes and governing law

If a problem comes up, we will first try to resolve it in good faith by talking. If it is not resolved within 30 days, either side may take it to the courts of Uganda. These terms are governed by the laws of the Republic of Uganda.
